These Terms of Use (“Terms”) govern your access to and use of orbitworks.cloud, any OrbitWorks-branded websites, pages, applications, content, portals, materials, private or limited-release offerings, and related online services made available under the OrbitWorks brand (collectively, the “Site” or “Services”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not access or use the Site.
1. Parties and Definitions
“OrbitWorks” means OrbitWorks Labs LLC, together with its affiliates, successors, and permitted assigns. “You” or “your” means the person or entity accessing or using the Site. If you access or use the Site on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and “you” includes that organization.
2. Scope of These Terms
These Terms apply to public pages and content on the Site; contact forms, submissions, downloads, request workflows, and communications initiated through the Site; OrbitWorks-branded services, applications, features, tools, materials, and offerings made available publicly, privately, or on a limited basis; and any private, pilot, invitation-only, or pre-release offering to the extent these Terms are not superseded by separate written terms. If you enter into a separate written agreement with OrbitWorks governing a specific engagement, that written agreement controls to the extent of any conflict.
3. Eligibility and Authority
You may use the Site only if you are legally able to enter into a binding agreement; will comply with these Terms and all applicable laws; will use the Site only for lawful, authorized, and legitimate business or informational purposes; and, if acting on behalf of an entity, have authority to bind that entity.
4. Changes to the Site and These Terms
OrbitWorks may modify, suspend, restrict, or discontinue any part of the Site at any time, with or without notice. OrbitWorks may update these Terms from time to time. Updated Terms become effective when posted unless a later date is stated. Your continued use of the Site after updated Terms become effective constitutes acceptance of the revised Terms.
5. No Offer, No Guaranteed Availability, No Engagement by Website
The Site is provided for general information, brand, research, trust, and business development purposes. Nothing on the Site constitutes legal advice, security advice, compliance certification, or any professional opinion on which you should rely without independent evaluation; creates a fiduciary duty, advisory relationship, or client relationship; guarantees that OrbitWorks will accept or perform any engagement; or constitutes a binding offer unless expressly stated in a separate written agreement signed by OrbitWorks.
No consulting, delivery, subscription, advisory, pilot, or other service relationship is formed solely by visiting the Site, sending a message, downloading materials, or requesting contact.
6. Permitted Use
Subject to these Terms, OrbitWorks grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Site solely for your own lawful internal business or informational purposes. You may not use the Site for resale, competitive exploitation, unauthorized automation, or any purpose inconsistent with these Terms or applicable law.
7. Prohibited Conduct
You agree not to, and not to attempt to: use the Site in violation of law, regulation, sanctions, or third-party rights; access or use the Site in a way that could damage, disable, overburden, or compromise the Site or other systems; probe, scan, test, or breach security or authentication measures without express written authorization; introduce malware, malicious code, ransomware, spyware, exploit code, or harmful content; scrape, spider, harvest, mine, index, mirror, or extract Site data, content, or metadata using automated means except as expressly authorized; circumvent access restrictions, rate limits, or other technical controls; impersonate any person or entity or misrepresent affiliation; use the Site to submit regulated data, credentials, secrets, or exploit material through unauthorized channels; use the Site to build or train competing datasets, models, products, or services using OrbitWorks content without express written authorization; or use OrbitWorks names, marks, logos, or brand elements in a way that suggests endorsement or partnership without prior written permission.
8. Security Monitoring and Protective Measures
OrbitWorks may monitor, log, audit, review, restrict, suspend, or block use of the Site as reasonably necessary to protect the Site, users, clients, infrastructure, and OrbitWorks rights and operations. Unauthorized access attempts, misuse, interference, or abuse may be investigated and may be referred to law enforcement or other appropriate authorities.
9. Public Forms and No Sensitive Submissions
The Site's public forms and general contact channels are intended for preliminary outreach only. You must not submit through public channels: credentials, private keys, or authentication tokens; exploit code, malware, or proof-of-concept attack materials; confidential architecture artifacts unless specifically requested through a secure process; controlled, regulated, or restricted data; classified or export-controlled information; or personal information not reasonably necessary for the purpose of your inquiry. OrbitWorks may delete, disregard, quarantine, or refuse any submission that violates this Section or creates unnecessary legal, security, privacy, or operational risk.
10. Unsolicited Ideas, Submissions, and Non-Confidentiality
Unless OrbitWorks expressly agrees otherwise in writing, any idea, suggestion, comment, enhancement proposal, feedback, concept, or material submitted through the Site is submitted on a non-confidential basis. Do not send confidential business plans, source code, inventions, trade secrets, or similarly sensitive materials through public channels unless OrbitWorks has first established a secure and authorized intake path.
11. Accounts, Credentials, and Access Controls
If OrbitWorks provides credentials, portal access, or restricted access to any portion of the Site or Services, you are responsible for maintaining the confidentiality of those credentials and for all activities occurring under your access. You must promptly notify OrbitWorks of any suspected unauthorized access, credential compromise, or security incident relating to your use of the Site. OrbitWorks may suspend or revoke credentials or access rights at any time in its discretion.
12. Intellectual Property and Ownership
The Site and its contents (including text, designs, layouts, trade dress, graphics, code, interface elements, documents, research, case studies, frameworks, visualizations, downloads, and other materials) are owned by OrbitWorks or its licensors and are protected by intellectual property and other laws. Except for the limited rights expressly granted in these Terms, no right, title, or interest in or to the Site or any content is transferred to you.
13. Marks, Brand, and Reference Restrictions
OrbitWorks names, logos, marks, slogans, service marks, product identifiers, and brand elements are protected. You may not use OrbitWorks branding, or reference OrbitWorks in a way that implies endorsement, certification, partnership, or formal affiliation, without OrbitWorks' prior written consent.
14. Product Descriptions, Forward-Looking Statements, and Availability
Any description of a capability, framework, practice, workflow, feature, roadmap, architecture, or offering is illustrative unless expressly stated otherwise in a signed written agreement. References to frameworks, standards, or security practices describe OrbitWorks' design approach and do not, by themselves, constitute certification, legal compliance, or guaranteed fitness for any purpose.
15. Third-Party Sites, Tools, and Content
The Site may link to or integrate with third-party websites, tools, content, or services. OrbitWorks does not control and is not responsible for third-party content, security, availability, terms, or privacy practices. Links are provided for convenience and do not imply endorsement unless expressly stated.
16. Compliance with Laws; Export and Sanctions
You are responsible for complying with all applicable laws in connection with your access to and use of the Site. You may not access, use, export, re-export, or transfer the Site or any related content or technical information in violation of applicable trade, export control, sanctions, anti-boycott, or similar laws or regulations.
17. Privacy
Your use of the Site is also subject to the OrbitWorks Privacy Policy and Cookie Notice, each incorporated into these Terms by reference to the extent applicable. OrbitWorks uses only cookies and similar technologies that are necessary to operate, secure, and maintain the Site, together with limited first-party, privacy-preserving analytics. OrbitWorks does not use third-party advertising pixels, retargeting technologies, or cross-site behavioral tracking technologies on the core public website. Where applicable, OrbitWorks honors Global Privacy Control and other legally recognized universal opt-out preference signals.
18. Disclaimers
THE SITE AND ALL CONTENT, MATERIALS, COMMUNICATIONS, AND SERVICES MADE AVAILABLE THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY LAW.
ORBITWORKS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, AND THAT THE SITE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED. ORBITWORKS DOES NOT WARRANT THAT THE SITE WILL MEET YOUR REQUIREMENTS; THAT CONTENT WILL BE CURRENT OR SUFFICIENT FOR YOUR SPECIFIC SITUATION; OR THAT ANY USE OF THE SITE WILL ACHIEVE ANY LEGAL, REGULATORY, COMPLIANCE, OR OPERATIONAL OUTCOME.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORBITWORKS AND ITS AFFILIATES, OWNERS, PERSONNEL, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR EXPECTED SAVINGS, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF ORBITWORKS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED U.S. DOLLARS (USD $100); OR (B) THE AMOUNT, IF ANY, PAID BY YOU TO ORBITWORKS SPECIFICALLY FOR ACCESS TO THE SITE GIVING RISE TO THE CLAIM IN THE SIX (6) MONTHS BEFORE THE CLAIM AROSE.
20. Indemnification
You agree to defend, indemnify, and hold harmless OrbitWorks and its affiliates, owners, officers, employees, contractors, advisers, licensors, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Site; your violation of these Terms; your violation of applicable law; your infringement or misappropriation of any rights of another person or entity; or any submission, data, material, or content you provide through the Site.
21. Injunctive Relief
You acknowledge that unauthorized use of the Site, OrbitWorks intellectual property, confidential materials, or brand assets may cause irreparable harm for which monetary damages may be inadequate. OrbitWorks may seek injunctive or equitable relief in addition to any other available remedies.
22. Suspension and Termination
OrbitWorks may suspend, restrict, or terminate your access to the Site at any time, with or without notice, if OrbitWorks believes you have violated these Terms, created risk, or used the Site in a manner inconsistent with OrbitWorks interests, security, or legal obligations. Sections that by their nature should survive termination will survive, including Sections relating to intellectual property, disclaimers, limitations of liability, indemnification, governing law, and dispute resolution.
23. Governing Law and Venue
These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles. You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in state or federal courts of competent jurisdiction located in the State of Texas, and you consent to the personal jurisdiction and venue of those courts, except that OrbitWorks may seek injunctive relief in any court of competent jurisdiction.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in effect. OrbitWorks' failure to enforce any provision is not a waiver of that provision or any other right. You may not assign or transfer these Terms or any rights under them without OrbitWorks' prior written consent. OrbitWorks may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets. These Terms constitute the entire agreement between you and OrbitWorks regarding the Site except to the extent superseded by a separate written agreement.
